Pitch It — Script Submission Release Agreement
By submitting your script, manuscript, treatment, synopsis, or any creative material (collectively, "the Material") to WriterBoyFilms and Brandon Washington ("WriterBoy," "we," "us," or "our"), you ("the Submitter") acknowledge and agree to the following terms.
The submission of the Material does not create any confidential, fiduciary, implied-in-fact, or other relationship between you and WriterBoyFilms, Brandon Washington, or any affiliated entities. No confidential or fiduciary relationship is created by the acceptance, review, or consideration of your Material.
WriterBoyFilms and Brandon Washington have no obligation to option, acquire, purchase, produce, develop, or otherwise use your Material. The review services provided are consultative in nature and do not constitute an offer to produce, represent, or distribute your work.
You acknowledge that WriterBoyFilms, Brandon Washington, and their affiliates may have previously developed, are currently developing, or may in the future develop projects, scripts, treatments, or concepts that contain elements, themes, characters, plots, or ideas similar to or identical to those in your submitted Material. You agree that you will not assert any claim of infringement, misappropriation, breach of confidentiality, or idea theft against WriterBoyFilms, Brandon Washington, or any affiliated party based on the development, production, or distribution of any such similar projects. You further acknowledge that storytelling concepts, themes, plot devices, and narrative structures are not protected by copyright, and that similarities in general ideas, themes, or concepts do not constitute infringement under U.S. copyright law (17 U.S.C. Section 102(b)).
By submitting your Material, you waive any right to claim that WriterBoyFilms, Brandon Washington, or any affiliated entity stole, misappropriated, or unlawfully used your ideas, concepts, themes, characters, plot elements, or any other component of your Material in connection with any past, current, or future project, regardless of any perceived similarity. You agree that you shall not file any lawsuit, claim, or demand based on such allegations.
You retain all ownership rights to your submitted Material. WriterBoyFilms and Brandon Washington do not acquire any ownership, license, or rights to your Material through this submission, except as explicitly stated herein. You affirm that you are the sole author and rights holder of the submitted Material, or that you have obtained all necessary permissions from any co-authors or rights holders to submit the Material.
You warrant and represent that: (a) you are the sole author and creator of the submitted Material, or you have obtained all necessary rights and permissions from any co-creators or rights holders; (b) the Material is your original work and does not infringe upon any third party's copyright, trademark, or other intellectual property rights; (c) the Material does not contain defamatory, libelous, or otherwise unlawful content; (d) you have the full legal right and authority to submit the Material for review; and (e) all factual claims and representations in the Material are true to the best of your knowledge.
You agree to indemnify, defend, and hold harmless WriterBoyFilms, Brandon Washington, and their officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your submitted Material; (b) any breach of the warranties or representations set forth herein; (c) any claim of infringement, misappropriation, or violation of any third party's rights based on your Material; or (d) any claim that your Material defames or violates the rights of any third party.
You agree that you shall not seek or obtain any injunction, restraining order, or other equitable relief that would prevent or interfere with the development, production, distribution, exhibition, or exploitation of any project by WriterBoyFilms, Brandon Washington, or their affiliates, regardless of any alleged similarity to your submitted Material. Any disputes shall be resolved through monetary damages only, as provided in the dispute resolution section below.
Any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or the submission of Material shall be resolved by binding arbitration administered by the American Arbitration Association in Los Angeles, California, under its Commercial Arbitration Rules. The arbitrator's award shall be final and binding, and judgment may be entered in any court of competent jurisdiction. YOU AND WRITERBOYFILMS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY.
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The exclusive venue for any arbitration or legal proceeding (to the extent arbitration does not apply) shall be Los Angeles County, California.
The services provided are professional script review and consultation services. The feedback, notes, and suggestions provided by Brandon Washington are opinions and suggestions based on his professional experience. No guarantee is made regarding the commercial success, production, or distribution of any submitted Material. The results of any review session are advisory in nature and do not constitute a promise or guarantee of any outcome.
For the $250, $500, and $1,500 tiers, refunds are available up to 48 hours before a scheduled session. For the $100 tier, no refunds are issued once the script review has been completed. To request a refund, contact info@writerboyfilms.com.
If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
By checking the "I agree to the Terms and Conditions" box and submitting your Material, you acknowledge that you have read, understood, and agreed to all terms set forth herein, and that you have had the opportunity to review these terms before submission.
WriterBoyFilms, Brandon Washington, and their affiliates make no express or implied guarantee, warranty, or representation that any submitted Material will be optioned, acquired, produced, distributed, exhibited, broadcast, streamed, or otherwise exploited by any third party, including but not limited to studios, streaming platforms, networks, distributors, sales agents, or exhibition outlets. While certain service tiers may include consultation and guidance regarding distribution strategies and industry outreach, such services constitute best-efforts consultation only and do not constitute a guarantee, promise, or warranty of any specific distribution outcome. For the avoidance of doubt, any reference to 'distribution' in any service tier description, marketing materials, communications, or otherwise shall be understood to mean WriterBoy's professional guidance and best-efforts assistance in pursuing distribution opportunities, not a guarantee that distribution will be secured. WriterBoyFilms and Brandon Washington shall not be liable for any claim, damage, or loss arising from the failure to secure distribution for any submitted Material, regardless of the service tier purchased.
WriterBoyFilms, Brandon Washington, and their affiliates make no express or implied guarantee, warranty, or representation that any submitted Material will receive funding, financing, investment, grants, or any other form of financial support from any source, including but not limited to studios, production companies, investors, crowdfunding platforms, grant organizations, or financial institutions. While certain service tiers may include guidance regarding financing strategies and pitch preparation, such services constitute advisory consultation only and do not constitute a guarantee, promise, or warranty that funding will be obtained. WriterBoyFilms and Brandon Washington shall not be liable for any claim, damage, or loss arising from the failure to secure funding or financing for any submitted Material, regardless of the service tier purchased or any statements made in marketing materials, consultations, or communications.
WriterBoyFilms, Brandon Washington, and their affiliates make no express or implied guarantee, warranty, or representation that any submitted Material will be produced, filmed, manufactured, or otherwise brought to completion as a finished motion picture, television program, digital series, or any other audiovisual work. The services provided are consultative and advisory in nature, focused on script development, pitch strategy, and industry guidance. Production of any project depends on numerous factors outside WriterBoy's control, including but not limited to market conditions, third-party interest, availability of financing, talent availability, and industry trends.
In no event shall WriterBoyFilms, Brandon Washington, or their officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost opportunities, damage to reputation, emotional distress, or any other damages arising from or related to the services provided, regardless of the service tier purchased. The total liability of WriterBoyFilms and Brandon Washington for any claim arising from or related to the services provided shall not exceed the amount actually paid by the submitter for the specific service tier purchased. The submitter acknowledges that the entertainment industry is inherently uncertain and that success in the industry depends on numerous factors beyond any individual's control, including market timing, audience reception, competition, industry relationships, economic conditions, and subjective creative preferences. The services provided by WriterBoy are designed to improve the submitter's chances of success but cannot and do not guarantee any specific outcome.
Nothing in these Terms and Conditions, nor the provision of any services hereunder, shall be construed to create a fiduciary relationship, agency relationship, partnership, joint venture, or employment relationship between the submitter and WriterBoyFilms, Brandon Washington, or their affiliates. WriterBoy is not acting as the submitter's agent, representative, manager, or attorney in any capacity. Any advice, guidance, or recommendations provided are the professional opinions of Brandon Washington based on his experience and are not binding commitments or guarantees of any outcome.
WriterBoyFilms and Brandon Washington are engaged as independent contractors in providing the services described herein. Nothing in these Terms and Conditions shall be construed to create any employer-employee relationship. WriterBoy retains sole discretion over the methods and means by which the services are provided, and the submitter retains sole ownership and responsibility for their submitted Material and any decisions related thereto.
By submitting Material and purchasing any service tier, the submitter acknowledges and agrees that:
